Introduction-

Form DIR-3 KYC is introduced by Ministry of Corporate Affairs (MCA) to conduct KYC (know your customer) verification for Directors of all companies. It is mandatory for Directors and should be filed by using a Digital Signature Certificate (DSC). By filing DIR-3 KYC form the Director would have to provide a unique personal mobile number and personal email address which would both be verified with an OTP such that it is not already linked with some other person in the DIN holders’ database.

Applicability-

Every director (Indian and foreigner) who has been allotted a director identification number (DIN/DPIN)” on or before 31st March and the status of such DIN is ‘Approved’, needs to file form DIR-3 KYC to update KYC details within one month of every financial year i.e. 30th April to the MCA. So, The Due date for filing DIR 3 KYC for the financial year ended on 31st March 2019 is 30th April 2019.

Earlier for the financial year ended on 31st March 2018, the due date for filing DIR-3 KYC was on or before 31st August, 2018 which was extended up to 15th September 2018.

After expiry of the respective due dates, system will mark all non-compliant DINs against which DIR-3 KYC form has not been filed as ‘Deactivated due to non-filing of DIR-3 KYC’.

 

Note: Filing DIR-3-KYC would also be mandatory for disqualified directors.

   
DIR-3 KYC filings on Annual Basis-

As per rule 12A of the Companies (Appointment and Qualification of Directors) Rules 2014, “every individual who has been allotted a Director Identification Number (DIN) as on 31st March of a financial year as per these rules shall, submit e-form DIR-3-KYC to the Central Government on or before 30th April of immediate next financial year.

DIR 3 KYC (Directors KYC) applies to all Directors of all companies and all partners/ designated partner of all LLPs, irrespective of DIN being active or inactive and directors who’s DIN is already disqualified, have to get their Director DIN updation completed.

   
Details/Documents required for filing DIR-3 KYC-
  1. Name (as per PAN database), Father’s Name (as per PAN database), Date of Birth (DOB) (as per PAN database).
  2. Proof of Permanent address like Passport, Voter ID card, Ration card, Driving license, Electricity bill, Telephone bill or Aadhaar card etc.( It must be in the name of Assessee).
  3. Copy of PAN Card
  4. Unique Personal Mobile Number
  5. Personal Email ID
  6. The form should be filed by every Director using his own DSC and should be duly certified by a practicing professional (CA/CS/CMA)
  7. For Foreign Directors, passport is mandatory.
   
Consequences of non-filing DIR-3 KYC-
  1. The authorities shall deactivate the DIN of an individual who does not intimate his particulars in e-form DIR-3 KYC.
  2. Late fee will be INR 5, 000/-

Form DIR-3 KYC, if filed within the due date of the respective financial year, no fee is payable. However, if filed after the due date, for DIN status ‘Deactivated due to non-filing of DIR-3 KYC’ The deactivated DIN shall be reactivated only after filing e-form DIR-3 KYC and on payment of Rs. 5, 000/-
